Terms Of Service

These Terms of Service (“Terms”) govern your access to and use of the Hoven platform, website, applications, and related services (collectively, the “Platform”), operated by Hoven Technologies Limited, a company incorporated in Hong Kong (“Hoven”, “we”, “us”, or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

Provider means any individual owner, agent, agency, co-living operator, serviced apartment operator, or other party that publishes property listings on the Platform.

User means any person who accesses, browses, searches, or uses the Platform.

Lead means an enquiry or viewing request submitted by a User in relation to a specific property listing through the Platform.

Credits means virtual units purchased or otherwise made available by Hoven that may be used to access paid Platform features.

2. Nature of the Platform

Hoven is a technology platform that enables:

AI-assisted property discovery and recommendations;
Display of property listings submitted by third parties;
Connections between Users and Providers;
Property enquiries and lead generation services.

Hoven is not:

a real estate agent;
a real estate broker;
a property intermediary;
a property manager; or
a party to any transaction between Users and Providers.

Hoven does not negotiate, verify, facilitate, complete, guarantee, or supervise any property transaction.

3. Eligibility

You must be at least eighteen (18) years old and legally capable of entering into binding agreements to use the Platform.

The Platform is not available to persons in jurisdictions where its use is prohibited or restricted by applicable law. Hoven reserves the right to restrict access to specific markets at its sole discretion.

4. Accounts and Authentication

Certain Platform features require registration of an account.

You may register using:

Email and password;
Third-party authentication providers (e.g. Apple, Google, Facebook, Microsoft)
or other authentication providers made available by Hoven.

You agree that:

all information you provide is accurate and current;
you will keep your account credentials secure; and
you are responsible for all activity conducted through your account.

Hoven is not responsible for failures, outages, security incidents, or authentication errors caused by third-party identity providers.

5. Listings and Provider Obligations

5.1 Provider Responsibilities

All listings are submitted by Providers.

Hoven does not verify every listing, Provider, property, ownership claim, agency relationship, or legal authority to market a property.

Providers represent and warrant that:

they have the legal right and authority to publish the listing;
all listing information is accurate and not misleading;
all photographs, videos, floorplans, and content may lawfully be used;
their listings comply with applicable laws and regulations; and
their listings do not infringe any third-party rights.

Providers are solely responsible for compliance with any licensing, tax, disclosure, consumer protection, advertising, housing, rental, or real estate regulations applicable in their jurisdiction.

Hoven reserves the right, in its sole discretion, to refuse, reject, remove, suspend, or restrict any listing for any reason.

Providers remain responsible for all content submitted through integrations, APIs, feeds, third-party software, or automated systems connected to the Platform. Providers are solely responsible for maintaining the accuracy and availability of their listings.

Hoven does not determine exclusivity rights, ownership disputes, commission entitlement disputes, competing agency claims, or authority disputes relating to any property.

5.2 Provider Verification

Hoven may, but is not obligated to, request identity verification, licensing information, business registration documents, proof of ownership, proof of agency authority, or other supporting documentation from any Provider.

Failure to provide requested information or failure to maintain accurate information may result in suspension, removal of listings, restriction of Platform access, or account termination.

Verification by Hoven, if performed, does not constitute endorsement, certification, guarantee, or confirmation of the Provider’s legitimacy, authority, or compliance with applicable laws.

5.3 Reporting and Enforcement

Users may report listings, Providers, or content that they believe to be inaccurate, misleading, fraudulent, unlawful, or otherwise in violation of these Terms.

Hoven may investigate reports at its sole discretion.

Hoven reserves the right, but not the obligation, to:

remove, edit, restrict, or disable access to any listing or content;
reduce the visibility of listings;
suspend or terminate accounts;
request additional information or verification from Providers; and
take any action reasonably necessary to protect Users, Providers, the Platform, or Hoven.

Hoven is not obligated to review, monitor, verify, or remove any content.

5.4 Listing Availability and Accuracy

Properties may become unavailable, leased, sold, withdrawn, modified, or inaccurately represented without notice.

Hoven does not guarantee the availability, accuracy, completeness, pricing, suitability, condition, or legality of any property listing.

Users should independently verify all information before relying upon any listing or entering into any transaction.

6. User Enquiries and Leads

Users may submit enquiries regarding specific listings through the Platform.

By submitting an enquiry, a User authorizes Hoven to disclose the User’s contact information and enquiry details to the Provider responsible for that listing.

A Lead is considered delivered when the relevant Provider receives access to the enquiry information through the Platform.

Hoven does not guarantee:

User responsiveness;
User seriousness or intent;
User financial qualifications;
viewing attendance;
transaction completion; or
rental or sales outcomes.

7. Lead Data Usage

Providers may use Lead information solely for responding to the relevant property enquiry and related transaction discussions.

Providers must not:

sell or transfer Lead information;
license Lead information to third parties;
use Lead information for unrelated purposes without applicable consent;
create databases for resale or commercial exploitation; or
use Lead information in violation of privacy or marketing laws.

Providers remain solely responsible for compliance with all applicable privacy, data protection, electronic communications, and marketing laws.

8. Credits, Payments and Paid Features

Providers may purchase Credits and subscriptions for access to paid Platform features.

All payments are final unless otherwise required by applicable law.

Payment processing may be provided by third-party payment processors.

Paid features may include:

Lead unlocks;
listing promotion;
featured placement;
additional listings; and
additional tools and services.

Hoven does not guarantee any minimum number of Leads, enquiries, views, conversions, transactions, or business results from any listing, subscription, promotional placement, credit purchase, or paid feature.

Providers may request a credit adjustment if a Lead is believed to be invalid (e.g., an unreachable phone number, a fake email address, or a duplicate submission). Hoven may, at our sole discretion acting reasonably and in good faith:

Review submitted evidence
Grant replacement credits

All decisions are final and not subject to appeal.

Credits are non-transferable, non-refundable, non-redeemable for cash, and have no monetary value outside the Platform.

Unused Credits may be forfeited upon account termination, suspension, fraud investigation, chargeback, abuse, or violation of these Terms.

Hoven reserves the right to recover, reverse, suspend, or deduct Credits, paid features, or account benefits associated with any chargeback, payment dispute, reversed transaction, fraudulent payment, or unauthorized transaction.

9. Dynamic Pricing

Hoven may determine the Credit requirements applicable to Lead unlocks, promotional features, and other paid services using pricing systems developed and maintained by Hoven.

Pricing may vary based on factors including:

property characteristics;
property value;
listing quality;
User engagement indicators;
timing of Lead access;
market conditions;
responsiveness indicators;
Platform activity; and
other factors determined by Hoven.

Hoven may modify pricing methodologies, minimums, maximums, formulas, or pricing factors at any time.

10. Featured Listings and No Endorsement

10.1 Featured Listings

Providers may pay for increased visibility.

Listing rankings, visibility, positioning, and recommendations may be influenced by commercial arrangements and paid promotions.

Featured placement does not constitute endorsement, verification, recommendation, or approval by Hoven.

10.2 No Endorsement

Hoven does not endorse, recommend, verify, approve, certify, or guarantee any:

property;
listing;
Provider;
owner;
agent;
agency; or
serviced apartment or co-living operator.

The appearance, ranking, recommendation, promotion, or display of any listing on the Platform does not constitute:

verification;
endorsement;
recommendation;
approval; or
a guarantee of legitimacy, quality, suitability, availability, or accuracy.

Users must independently evaluate and verify all properties and Providers before entering into any transaction.

11. AI-Powered Features

The Platform uses artificial intelligence, machine learning, and automated systems to generate recommendations, rankings, matching results, and related outputs.

You acknowledge that:

AI outputs may be inaccurate, incomplete, biased, outdated, or incorrect;
AI may fail to identify suitable properties;
AI may rank properties imperfectly;
AI outputs are informational only;
AI outputs are not professional advice; and
Users should independently verify all information.

Hoven may use automated systems to analyze searches, preferences, interactions, and Platform activity to improve services and develop future features.

12. Content License

By submitting content to the Platform, you grant Hoven a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, reproduce, modify, adapt, translate, distribute, display, and publish such content for operating, promoting, improving, and developing the Platform.

13. Intellectual Property

The Platform, software, branding, trademarks, designs, algorithms, recommendation systems, databases, and related intellectual property are owned by Hoven or its licensors.

No rights are granted except as expressly stated in these Terms.

14. Prohibited Conduct

You agree not to:

submit false or misleading information;
impersonate another person or entity;
scrape, harvest, or copy Platform data;
reverse engineer Platform functionality;
interfere with Platform operations;
circumvent payment mechanisms;
manipulate Lead systems;
engage in fraudulent activity; or
use the Platform unlawfully.

15. Suspension and Termination

Hoven may suspend, restrict, terminate, or delete any account, listing, credits, or access to the Platform at any time, with or without notice, if we reasonably believe that:

these Terms have been violated;
fraud, abuse, misconduct, deceptive conduct, or unlawful activity has occurred;
Platform security may be affected;
legal, regulatory, reputational, or operational risks may arise; or
such action is necessary to protect Hoven, Users, Providers, third parties, or the Platform.

Hoven may also remove listings, restrict visibility, revoke Credits, or disable access to paid features in connection with any investigation or enforcement action.

Upon termination, all rights granted to you under these Terms shall immediately cease.

Credits, subscriptions, promotional placements, and other paid features may be forfeited upon termination to the extent permitted by applicable law.

Hoven shall not be liable for any loss, damage, business interruption, loss of data, loss of Leads, or loss of Credits arising from suspension, restriction, or termination of any account or Platform access.

16. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Hoven disclaims all warranties, whether express, implied, statutory, or otherwise.

Hoven does not guarantee uninterrupted, secure, error-free, or continuous operation of the Platform.

17. Limitation of Liability

Hoven shall not be liable for delays, interruptions, failures, or inability to perform resulting from causes beyond its reasonable control.

To the maximum extent permitted by law, Hoven shall not be liable for:

indirect damages;
incidental damages;
special damages;
consequential damages;
loss of profits;
loss of revenue;
loss of business opportunities;
loss of data;
inaccurate listings;
AI-generated outputs;
User or Provider conduct; or
failed transactions.

Hoven’s aggregate liability shall not exceed: the total amount paid by you to Hoven during the six (6) months immediately preceding the event giving rise to the claim.

18. Indemnification

You agree to indemnify and hold harmless Hoven, its directors, officers, employees, affiliates, and agents from claims, liabilities, damages, losses, costs, and expenses arising from:

your use of the Platform;
your listings or content;
your violation of these Terms;
your violation of applicable laws; or
claims relating to properties you list or market.

19. Privacy

Your use of the Platform is also governed by our Privacy Policy.

Hoven may collect and process account information, search preferences, enquiry data, usage information, device information, and technical data as described in the Privacy Policy.

User inputs may be processed in real time to provide services. Hoven does not guarantee permanent storage or non-storage of such inputs.

20. Changes to the Platform and Terms

Hoven may modify, suspend, discontinue, or update any aspect of the Platform or these Terms at any time.

Continued use of the Platform following publication of updated Terms constitutes acceptance of the revised Terms.

21. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Hong Kong.

Any dispute, controversy, or claim arising out of or relating to these Terms shall be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre under its applicable rules.

The arbitration award shall be final and binding.

To the maximum extent permitted by law, claims must be brought on an individual basis and not as a plaintiff or class member in any purported class, representative, collective, or consolidated proceeding.

To the maximum extent permitted by law, any claim arising out of or relating to the Platform or these Terms must be brought within one (1) year after the claim arose, otherwise the claim is permanently barred.

22. Language

The Platform and these Terms may be made available in multiple languages.

In the event of any inconsistency or conflict between the English version and any translated version, the English version shall prevail.

23. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Failure to enforce any right shall not constitute a waiver of that right.

These Terms constitute the entire agreement between you and Hoven regarding the Platform.

Hoven may assign, transfer, or delegate its rights and obligations under these Terms without restriction in connection with a merger, acquisition, restructuring, sale of assets, financing transaction, or other corporate transaction. Users may not assign their rights or obligations without Hoven’s prior written consent.
